End User License Agreement (EULA)

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "you", or "your") and MyBookees ("Company", "we", "us", or "our") governing your access to and use of the MyBookees software application, services, and integrations ("Service"). By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree, please do not use the Service.

 

1. Acceptance of Terms: By installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

2. License Grant: Subject to your compliance with this Agreement, MyBookees grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your internal business purposes. This license does not permit resale, redistribution, or commercial exploitation of the Service.

3. QuickBooks Online Integration: The Service integrates with QuickBooks Online ("QBO"), a product of Intuit Inc., through Intuit's authorized API. By connecting your QuickBooks account to the Service:

  • You authorize MyBookees to access, retrieve, and process data from your QuickBooks Online account.
  • You confirm that you have the legal authority to grant such access on behalf of your business or organization.
  • You agree to comply with Intuit's Terms of Service and applicable QuickBooks usage policies.
  • You acknowledge that MyBookees is an independent third-party application and is not affiliated with, endorsed by, or sponsored by Intuit Inc.
  • You may revoke this authorization at any time through your QuickBooks Online account settings.

4. User Responsibilities: You agree to use the Service responsibly and in accordance with applicable laws. Specifically, you agree to:

  • Provide accurate, current, and complete information when using the Service.
  • Maintain the security and confidentiality of your account credentials.
  • Use the Service only for lawful business purposes.
  • Not reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
  • Not share, transfer, or sell your account access to unauthorized third parties.
  • Not use the Service to store, process, or transmit any unlawful, harmful, or infringing content.
  • Promptly notify us of any unauthorized access or security breaches related to your account.

5. Data Ownership and Privacy: You retain all rights, title, and ownership of the data you import, process, or generate through the Service, including all data accessed from your QuickBooks Online account ("User Data"). MyBookees acts as a data processor on your behalf and does not claim any ownership rights to your User Data. Our handling of User Data is governed by our Privacy Policy, which forms an integral part of this Agreement.

6. Prohibited Uses: You agree not to use the Service in any manner that:

  • Violates any applicable local, state, national, or international law or regulation.
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
  • Attempts to gain unauthorized access to our systems, servers, or networks.
  • Interferes with, disrupts, or impairs the operation of the Service or its underlying infrastructure.
  • Uses automated tools, scripts, or bots to access the Service in ways not expressly permitted.
  • Develops or assists in developing a competing product using insights from the Service.
  • Transmits viruses, malware, or any other malicious code through the Service.

7. Intellectual Property Rights: The Service, including but not limited to all software, source code, designs, graphics, user interfaces, trademarks, logos, and content (excluding User Data), is the exclusive property of MyBookees and is protected by copyright, trademark, and other intellectual property laws. No rights are granted to you except as expressly stated in this Agreement.

8. Service Availability and Modifications: We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any interruptions, delays, or modifications to the Service.

9. Disclaimers and Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. MyBookees does not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure.
  • The data displayed in the Service will always be accurate (as it originates from QuickBooks Online and depends on the accuracy of source data).
  • Any defects or errors will be corrected within a specific timeframe.

10. Limitation of Liability: To the maximum extent permitted by law, MyBookees shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from your use of the Service. Our total liability under this Agreement is limited to the amount you paid to MyBookees in the past twelve (12) months, or USD $100, whichever is lower.

11. Indemnification: You agree to indemnify, defend, and hold harmless MyBookees and its affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of this Agreement, or your infringement of any third-party rights.

12. Third-Party Services: The Service integrates with third-party services, including QuickBooks Online (Intuit Inc.) and Microsoft Azure. Your use of these third-party services is subject to their respective terms and privacy policies. MyBookees is not responsible for the practices, content, or availability of any third-party services.

13. Termination: Either party may terminate this Agreement at any time. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you violate any term of this Agreement. Upon termination:

  • Your license to use the Service ends immediately.
  • Your QuickBooks Online connection will be disconnected.
  • Your data will be handled in accordance with our Privacy Policy and data retention practices.
  • All provisions that by their nature should survive termination shall survive (including ownership, disclaimers, and limitation of liability).

14. Modifications to this Agreement: We reserve the right to modify this Agreement at any time. Material changes will be communicated through our website or via email to active users. Your continued use of the Service after such modifications constitutes your acceptance of the updated Agreement.

15. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or in courts of competent jurisdiction.

16. Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and MyBookees regarding the use of the Service and supersedes all prior agreements, understandings, or representations.
